Introduction

These Terms of Service ("Terms", "Agreement") constitute a legally binding agreement between you (the "Customer", "Client", "User", or "you") and Iceipts Technology Private Limited ("Iceipts", "we", "us", or "our") governing your access to and use of the Iceipts enterprise operations platform, including HRMS, industrial automation solutions, and all related services (collectively, the "Services").

Important Notice

By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you must not access or use our Services. Please read these Terms carefully before proceeding.

1. Acceptance of Terms

You accept these Terms by:

Creating an account on the Iceipts platform
Signing a Master Service Agreement (MSA) or Order Form
Accessing or using any part of our Services
Clicking "I Agree" or similar acceptance mechanism

2. Service Agreement

2.1 Services Provided

Iceipts provides a unified enterprise operations platform consisting of:

Enterprise HRMS: Payroll, attendance, performance management, employee lifecycle, compliance
Industrial Automation: Dispatch management, fleet tracking, mining automation, logistics ERP
Government Compliance: Vahan/Sarathi integration, e-Way Bill, e-Invoice, GST automation
IoT Integration: RFID tracking, GPS monitoring, weighbridge automation, gate systems
AI-Powered Analytics: Predictive insights, automated workflows, intelligent reporting
Custom Development: Industry-specific modules, API integrations, workflow customization

2.2 Service Level Agreement (SLA)

Uptime Guarantee: 99.9% monthly uptime (excluding scheduled maintenance)
Support Response: Critical issues within 2 hours, standard issues within 24 hours
Data Backup: Daily automated backups with 90-day retention
Performance: API response time < 2 seconds for 95% of requests
Maintenance Windows: Scheduled maintenance notified 72 hours in advance

2.3 Service Modifications

We reserve the right to modify, suspend, or discontinue any part of the Services with 30 days' notice. Material changes that adversely affect your use will entitle you to terminate the Agreement with a pro-rata refund.

3. User Obligations & Acceptable Use

3.1 Account Security

You agree to:

Maintain the confidentiality of your account credentials
Implement strong passwords and enable multi-factor authentication (MFA)
Notify us immediately of any unauthorized access or security breach
Ensure all users comply with these Terms
Accept responsibility for all activities under your account

3.2 Prohibited Activities

You must NOT:

Use the Services for any unlawful or fraudulent purpose
Attempt to gain unauthorized access to our systems or other users' accounts
Reverse engineer, decompile, or disassemble the platform
Upload malware, viruses, or malicious code
Interfere with or disrupt the Services or servers
Scrape, data mine, or extract data using automated means
Resell, sublicense, or redistribute the Services without authorization
Use the Services to compete with Iceipts or develop competing products
Violate any applicable laws, including data protection and privacy regulations

3.3 Data Accuracy

You are responsible for the accuracy, quality, and legality of Customer Data uploaded to the platform. You represent that you have all necessary rights and consents to upload and process such data.

4. Payment Terms

4.1 Subscription Fees

Pricing: As specified in your Order Form or subscription plan
Billing Cycle: Monthly, quarterly, or annual (as selected)
Currency: Indian Rupees (INR) or US Dollars (USD) for international clients
Payment Method: Bank transfer, UPI, credit card, or as mutually agreed
Auto-Renewal: Subscriptions auto-renew unless canceled 30 days before renewal

4.2 Late Payments

Invoices are due within 15 days of issuance. Late payments are subject to:

Late fee of 1.5% per month (or maximum permitted by law)
Service suspension after 30 days of non-payment
Account termination after 60 days of non-payment
Recovery of all collection costs and legal fees

4.3 Taxes

All fees are exclusive of applicable taxes (GST, VAT, sales tax). You are responsible for all taxes except those based on our net income. We will invoice taxes separately where required.

4.4 Refund Policy

Trial Period: 30-day money-back guarantee for new customers (if applicable)
Annual Subscriptions: Pro-rata refund if we materially breach SLA
Setup Fees: Non-refundable once implementation begins
Custom Development: Non-refundable after project kickoff

5. Intellectual Property Rights

5.1 Iceipts IP

The Services, including all software, designs, trademarks, trade secrets, algorithms, and documentation, are owned by Iceipts and protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable license to use the Services solely for your internal business purposes.

5.2 Customer Data

You retain all rights to your Customer Data. You grant us a limited license to host, process, and analyze your data solely to provide the Services. We may use aggregated, anonymized data for analytics and service improvement.

5.3 Feedback

Any feedback, suggestions, or ideas you provide become our property. We may use such feedback without compensation or attribution.

6. Confidentiality

Both parties agree to maintain the confidentiality of proprietary information disclosed during the term of this Agreement. Confidential information includes:

Customer Data, business strategies, and financial information
Iceipts source code, algorithms, and technical documentation
Pricing, security measures, and implementation details

Confidentiality obligations survive termination for 5 years, except for trade secrets which remain confidential indefinitely.

7. Warranties & Disclaimers

7.1 Our Warranties

We warrant that:

Services will perform substantially as described in documentation
We will use industry-standard security measures to protect your data
We have the right to provide the Services
Services will comply with applicable laws

7.2 Disclaimer

EXCEPT AS EXPRESSLY STATED ABOVE, THE SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND.

We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, non-infringement, and uninterrupted or error-free operation. We do not warrant that the Services will meet your specific requirements or achieve particular results.

8. Limitation of Liability

IMPORTANT LIABILITY LIMITATIONS:

Indirect Damages: We are not liable for indirect, incidental, consequential, special, or punitive damages, including lost profits, lost revenue, or lost data.
Liability Cap: Our total liability for all claims shall not exceed the fees paid by you in the 12 months preceding the claim.
Exceptions: The above limitations do not apply to: (a) our gross negligence or willful misconduct, (b) data breaches caused by our security failures, (c) intellectual property infringement, or (d) death or bodily injury caused by our negligence.

8.1 Force Majeure

Neither party is liable for failure to perform due to events beyond reasonable control, including natural disasters, war, terrorism, labor disputes, government actions, internet failures, or pandemics.

9. Indemnification

9.1 Your Indemnification

You agree to indemnify and hold Iceipts harmless from claims arising from:

Your use of the Services in violation of these Terms
Customer Data you upload (including infringement or privacy violations)
Your violation of applicable laws or regulations
Unauthorized use of the Services by your employees or contractors

9.2 Our Indemnification

We will indemnify you against claims that the Services infringe third-party intellectual property rights, provided you notify us promptly and cooperate in the defense. Our remedy may include obtaining rights, modifying the Services, or refunding fees.

10. Termination

10.1 Termination by You

Cancel subscription with 30 days' notice before renewal date
Terminate for cause if we materially breach and fail to cure within 30 days
Download your data before termination (available for 30 days post-termination)

10.2 Termination by Us

We may terminate or suspend your access immediately if you:

Breach these Terms, especially prohibited activities
Fail to pay undisputed fees for 60 days
Engage in fraudulent or illegal activities
Threaten the security or integrity of our platform

10.3 Effect of Termination

Upon termination:

All licenses and access rights immediately cease
You must pay all outstanding fees
We will delete your data after 30 days (unless legally required to retain)
Confidentiality, indemnification, and limitation of liability provisions survive

11. Dispute Resolution

11.1 Governing Law

This Agreement is governed by the laws of India. The courts of Pune, Maharashtra shall have exclusive jurisdiction.

11.2 Arbitration

Any dispute shall be resolved through binding arbitration in accordance with the Arbitration and Conciliation Act, 1996. Arbitration shall be conducted in Pune by a sole arbitrator mutually agreed upon.

11.3 Injunctive Relief

Either party may seek injunctive relief in court for intellectual property infringement or confidentiality breaches without waiting for arbitration.

12. General Provisions

12.1 Entire Agreement

These Terms, together with your Order Form and Master Service Agreement (if applicable), constitute the entire agreement and supersede all prior agreements.

12.2 Amendments

We may update these Terms with 30 days' notice. Continued use after changes constitutes acceptance. Material adverse changes give you the right to terminate with a refund.

12.3 Assignment

You may not assign this Agreement without our written consent. We may assign to affiliates or in connection with a merger or sale.

12.4 Severability

If any provision is found invalid, the remaining provisions remain in full force.

12.5 Waiver

Failure to enforce any right does not constitute a waiver of that right.

Acknowledgment & Acceptance

BY USING THE ICEIPTS PLATFORM, YOU ACKNOWLEDGE THAT YOU HAVE READ, UNDERSTOOD, AND AGREE TO BE BOUND BY THESE TERMS OF SERVICE. IF YOU ARE ENTERING INTO THIS AGREEMENT ON BEHALF OF A COMPANY OR LEGAL ENTITY, YOU REPRESENT THAT YOU HAVE THE AUTHORITY TO BIND SUCH ENTITY TO THESE TERMS.
